Terms and conditions of sale and delivery of M\u00fcller Modell- und Formenbau GmbH & Co.<\/strong><\/h5>

<\/strong><\/p>

Unless expressly stated by us in writing, our offers are based on the following
terms of delivery. Items specified individually in our offers shall take precedence over
these terms and conditions. If this is not the case, the following terms and conditions of sale and
delivery shall remain unaffected. <\/p>

1. offers and orders:<\/strong> All offers are only binding for the scope of the services explicitly listed in the offer
. Terms and conditions of purchase of the purchaser which
conflict with our terms and conditions of sale are invalid without the need for an objection on our part
. Verbal or telephone agreements
are only valid after written confirmation by us.
Offer documents remain the property of M\u00dcLLER and may only be viewed by third parties with our
written consent. <\/p>

2. prices:<\/strong> All prices are in euros for delivery ex works and are exclusive of
packaging and statutory VAT. The prices are also
exclusive of spare and wear parts.
The contractor shall endeavor to adhere to the
offer prices, but is entitled to agree a different pricing with the
contractor if unforeseen production issues or material price changes arise. Rough guide prices
are not binding for us. Additional change requests from the
client generally justify an increase in the order total.
Additional expenses incurred by M\u00dcLLER due to unfinished, missing or incorrect
designs, CAD data, supplies or information shall be invoiced additionally,
unless they are expressly included in the scope of the offer. <\/p>

3. transportation and shipping:<\/strong> Unless expressly stated otherwise in our offer
, the client shall bear the costs for transportation with the associated
logistics.<\/p>

4. retention of title:<\/strong> We would like to point out that we deliver exclusively under the
conditions of extended retention of title. The delivered goods
remain our property until full payment has been made. Pledging or transfer by way of security
is not permitted. Access by third parties, in particular seizures, must be reported to us immediately
in writing. If, after conclusion of the contract, clear doubts arise as to the
solvency or willingness to pay of the customer, the
contractor may refuse performance until payment is made or security for the
payment is guaranteed. <\/p>

5. aids:<\/strong> Developments, drawings, CAD constructions, natural, scale and
CAD models, milling programs, auxiliary tools and devices as well as
operating materials remain the property of
M\u00dcLLER, unless expressly agreed otherwise. By separate agreement, individual aforementioned
items can be transferred to the Customer; the copyright remains with
M\u00dcLLER and cannot be transferred to third parties. <\/p>

6 Place of performance:<\/strong> The place of performance for delivery and payment is 35216 Biedenkopf, Hohe
Stra\u00dfe 6-10.<\/p>

7 Place of jurisdiction, law:<\/strong> The place of jurisdiction is the local court in 35216 Biedenkopf. German law shall apply exclusively to

conditions. If this is not the case, the following terms and conditions of sale and delivery shall
apply without prejudice. <\/p>

1. offers and orders:<\/strong> All offers are only binding for the scope of the services
explicitly stated in the offer. Any terms and conditions of purchase of the customer
that conflict with our terms and conditions of sale shall be invalid without the need for
an objection on our part. Agreements made orally or by telephone shall only become
valid after we have confirmed them in writing. Offer documents remain the property
of M\u00dcLLER and may only be viewed by third parties with our written permission. <\/p>

2. prices:<\/strong> All prices are in euros for delivery ex works and are exclusive of packaging

structure with the client should unforeseen manufacturing issues arise or material
prices change. Rough guide prices are not binding for us. Additional change requests
on the part of the client generally justify an increase in the order amount. Additional
expenses incurred by M\u00dcLLER as a result of unfinished, missing or incorrect designs,
CAD data, provisions or information will be invoiced additionally, unless they are
expressly included in the scope of the offer. <\/p>

3. transportation and shipping:<\/strong> Unless otherwise expressly stated in our offer, the
customer shall bear the costs of transportation and the associated logistics.<\/p>

4. retention of title:<\/strong> We would like to point out that we deliver exclusively under the
conditions of the extended reservation of title. The delivered goods remain our
property until full payment has been received. Pledging or transfer by way of security
is not permitted. We must be notified immediately in writing of any third-party access,
in particular seizures. If, after the contract has been concluded, there is significant
doubt regarding the customer’s ability or willingness to pay, the contractor can refuse
performance until payment has been made or security for the payment has been
provided. <\/p>

5 Aids:<\/strong> Developments, drawings, CAD designs, natural, scale and CAD models,
milling programs, auxiliary tools and devices, as well as operating materials, remain
the property of M\u00dcLLER, unless expressly agreed otherwise. By separate agreement,
individual items mentioned above may be handed over to the client; the copyright
remains with M\u00dcLLER and cannot be transferred to third parties. <\/p>

6. place of performance:<\/strong> The place of performance for delivery and payment is
